STUD RX® connects you with health care providers to help diagnose and treat erectile dysfunction conveniently and privately. Stud RX does this through the telehealth platform Stud-Rx.com, where subscribers answer questions developed by the International Index of Erectile Function-5 to help determine if ED medications can help you. Based upon your responses, a medical provider may prescribe medication to help your ED symptoms. If the traditionally prescribed ED medications do not work for you, or have lost their efficacy over time, STUD RX® medical providers offer a compounded medication that combines elements of the two, traditionally prescribed medications for ED.

STUD RX® Does Not Provide Medical Advice. Our platform connects our subscribers to health care providers and is not a substitute for your relationship with your primary care physician or urologist or other medical specialist. The medical providers we connect you with may deny you treatment or may not provide you with a prescription. If you do receive medical advice or a prescription from a licensed health care provider through our platform, such medical advice or prescription will be based solely upon the information that you give to the providers and will be the result of their professional judgment. As such, STUD RX® cannot accept any responsibility or liability for their advice.

STUD RX® is NOT a Pharmacy. Medication is prescribed by licensed medical providers and shipped or delivered directly to you from a preferred pharmacy. Any medication that the doctors prescribe and the pharmacy provides will only treat your SYMPTOMS and not any underlying cause.

We are NOT a Replacement for your Doctor. None of these services replaces your relationship with your primary care physician or any specialists. The physicians and other healthcare providers that you may communicate with via our platform do not diagnose, treat or screen cancer or other diseases related to the prostate, urogenital area or any other part of your body, other than erectile dysfunction. Any medication that such providers may prescribe for you is not intended to diagnose and/or treat the underlying causes of erectile dysfunction, but the only provide treatment of the symptoms of erectile dysfunction.

STUD RX® is NOT a Substitute for your Primary Care Physician(s) or Specialist(s). As always, if you have a medical emergency, you should immediately call 911 for assistance. You should should never delay in seeking advice from your primary care physician, urologist, or any other healthcare provider about any diagnosis or information provided from one of the healthcare providers on our platform.

STUD RX® is TEXAS PROUD. While STUD RX® has plans to expand its services into other states, our telemedicine platform is presently limited to the State of Texas. Until we can meet the requirements of nationwide distribution, our platform and prescriptions will be limited to this great State of Texas.

No Kids Allowed: You Must Be 18 Years or Older. You must be at least 18 years of age to become a registered subscriber. If you are under 18, you will not be able to use the ED medications, even with parental consent.

Telemedicine Services Described. Telemedicine allows healthcare providers to use technology to evaluate and treat patients from different locations and to provide prompt and convenient solutions for erectile dysfunction without scheduling a doctor’s appointment and traveling to a doctor’s office and waiting in an often busy waiting room for your appointed visit. Telemedicine communications may require receipt of certain medical records, photos, driver’s license, or other personal health information, and may include live video and/or audio, or other teleconference or phone call methods. Our platform incorporates certain protocols designed to protect the privacy and security of your personal health information. By using our platform, you consent to receive telemedicine services from healthcare providers with whom you communicate via our platform.

You MUST Tell Us Everything. Although STUD RX® does not provide medical advice, any medical advice you receive from medical providers through our platform is only as good as the information you provide. You must provide complete and accurate information about your medical history and symptoms when you complete any questionnaires on our platform or speak to any medical provider with whom we connect you. STUD RX® is not responsible for the information you provide on the platform because we simply connect you with medical providers who can then give you a prompt diagnosis and treatment based upon the information that you provide. You promise that all information you provide when subscribing to our platform, and when you use our services or communicate with our contracted healthcare providers, is truthful, complete, and accurate. You also agree that, as long as you are a registered subscriber to our platform, you will update any information provided so that it remains truthful, complete and timely.

Ownership of Information & Other Intellectual Property. The software, code, proprietary methods, systems, functionality and content used in the telehealth platform, without limitation all text, images, video, audio and design, and all names, logos, and other materials displayed on the platform belong to STUD RX® or to our third-party business associates. You cannot copy or use our information except to register as a subscriber for our services. The company that owns STUD RX® claims a common law trademark to the name and marks and is in the process of registering the name STUD RX® and DIVA RX as federal trademarks.

Cancelling Your Subscription. You can cancel your subscription at any time, for any reason. However, any such cancellation will only be effective after the last date that a prescription has shipped; in other words, if your prescription has already begun processing for a particular month, the cancellation will not be effective until the next month. The next month no money will be charged and no prescription will be processed. We can cancel your subscription if we change or discontinue the platform. If we do so we will not be responsible to you for any loss or damage.

We Can’t Be Responsible for Everything: Disclaimers. IF YOU USE THE STUD-RX® PLATFORM, YOU DO SO AT YOUR OWN RISK. USE OF THE STUD-RX® PLATFORM THROUGH OUR TELEHEALTH PLATFORM OR OTHERWISE IS ON AN “AS IS” AND “WITH ALL FAULTS” BASIS. THE OWNER OF STUD RX® HEREBY EXPRESSLY DISCLAIMS ALL WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING ANY WARRANTY OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, VALUE, NON-INFRINGEMENT, OR SYSTEM INTEGRATION. WE DO NOT GUARANTEE THAT OUR TELEMEDICINE PLATFORM WILL NOT HAVE ANY “VIRUSES” OR OTHERWISE BE WITHOUT FLAWS OR DEFECTS. YOU USE THE PLATFORM AT YOUR OWN RISK AND WILL BE SOLELY RESPONSIBLE FOR ANY RESULTING LOSS OR DAMAGE.

Release of Liability & Indemnification. TO THE EXTENT PERMITTED UNDER APPLICABLE LAW, IN NO EVENT WILL THE OWNERS OF STUD-RX.COM®, OR THEIR REPRESENTATIVES OR AGENTS BE LIABLE FOR ANY CLAIMS, LIABILITIES, LOSSES, COSTS OR DAMAGES ARISING FROM OR RELATING TO YOUR ACCESS OR USE OF OUR TELEMEDICINE PLATFORM, UNDER ANY LEGAL OR EQUITABLE THEORY, WHETHER IT TORT (INCLUDING NEGLIGENCE AND STRICT LIABILITY), CONTRACT, WARRANTY OR OTHERWISE, INCLUDING WITHOUT LIMITATION ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR EXEMPLARY DAMAGES, OR FOR ANY CLAIMS FOR PERSONAL OR BODILY INJURY, DISABILITY, DEATH OR EMOTIONAL OR PHYSICAL DISTRESS, ARISING OUT OF ANY DIAGNOSIS OR TREATMENT BY HEALTHCARE PROVIDERS WITH WHOM YOU COMMUNICATE THROUGH OUR TELEMEDICINE PLATFORM. YOUR SOLE AND EXCLUSIVE REMEDY IS TO CEASE ALL USE OF OUR TELEMEDICINE PLATFORM AND DISCONTINUE USING OUR SERVICES. You agree to indemnify, defend and hold harmless the owners of STUD-RX.COM® and their representatives and agents, and any affiliated or third-party healthcare providers with whom you communicate, from and against any and all claims, liabilities, damages, losses, costs, expenses, fees (including reasonable attorneys’ fees and court costs) you incur related to your use of the STUD-RX® telemedicine platform or the products prescribed in connection therewith.

When All Else Fails…Dispute Resolution. These Terms and Conditions and your use of the STUD-RX® platform are governed by the laws of the State of Texas, excluding its rules regarding conflicts of law. To the extent that we find it feasible, we will try to mediate any disputes between us through a mediator located in Harris County, Texas. Except for the three types of claims that we can bring in Texas courts as provided bel0w, you agree that any claim or dispute between us must be resolved exclusively through binding arbitration which will take place in Houston, Texas under the Commercial Rules of the American Arbitration Association, provided however that STUD-RX® may bring certain claims, specifically: (i) to collect monies due; (ii) to enforce its trademarks or other intellectual property rights, or (iii) to seek temporary and preliminary specific performance and injunctive relief, in a court of competent jurisdiction located in Houston, Harris County, Texas, and you agree to the exclusive jurisdiction of such courts for such claims.

Don’t Go Changing…Modifying the Terms and Conditions of Service. We can change, add or remove provisions to these Terms and Conditions at any time, by posting the new Terms and Conditions on our telehealth platform . We recommend that you read the Terms and Conditions each time you use the telehealth platform. If you object to any changes, your sole recourse will be to cease using the web sites and our services. Your continued access to and use of the STUD-RX® telehealth platform and/or telemedicine platform signifies your acknowledgement and acceptance of any such changes to these Terms and Conditions and agreement to be bound thereby.

Shhhhhhhh… Your Privacy Rights STUD RX® values the confidentiality and privacy of your personal health information (PHI). Our Privacy Policy explains how we may collect, use, share and disclose your information, which is available here and is incorporated into these Terms and Conditions. If you use the STUD-RX® platform and become a registered subscriber, you accept our Privacy Policy, as may be amended from time to time. Do NOT use our platform If you do not agree to have your information used in any of the ways described in the Privacy Policy.

Your Access Rights to the Telemedicine Platform: Act Right & Play Fair. Subject to our Terms and Conditions, the owner of the STUD-RX® telemedicine platform has granted you a non-exclusive license (permission) to use its telehealth platform ONLY for your own personal purposes and not for any commercial use. This limited purpose license can be revoked at any time if you violate its terms. The owners of STUD-RX® retain all rights in our telehealth platform as it has been developed and continues to evolve, in the telemedicine platform, in any intellectual property related thereto. By becoming a subscriber of STUD-RX®, you agree not to copy or reproduce any part of the STUD-RX™ telehealth platform or use any of its marks, including but not limited to DIVA-RX for a period of four(4) years after the date of your initial subscription. You also agree not to reverse engineer (decompile, translate, decode) any part of the telemedicine platform for you own use, or use our source code for your own commercial purposes for a period of four(4) years after the date of your initial subscription. You also agree that the foregoing provisions apply to you, your family members and your close business associates. By subscribing to our technology platform, you also agree not to modify or make any derivative works from our telehealth platform or to take any action to disrupt or otherwise interfere in the operation or effectiveness of our telemedicine platform.

Show Me the Money: Fees & Payment. STUD-RX™ coordinates your medical visit and provision of prescription medication through a subscription service. Based upon the input of a medical provider, you select the subscription plan and our contracted pharmacy will coordinate an automatic shipment or delivery of your prescription, including any refills. STUD-RX® charges you monthly based on your selected subscription plan. The payments that you make to STUD-RX.COM® may include fees for services charged by your healthcare providers and for pharmacy services, and STUD-RX.COM® collects payment on their behalf. Payments may be facilitated through a third-party payment processing service. By becoming a registered subscriber through the STUD-RX® telemedicine platform, you authorize us to charge you, through our third-party payment processing service, for all fees as they become due, and represent and warrant that you are the authorized user. If you if you specify a form of payment that fails or otherwise cannot be processed, we may collect amounts that you owe through other means, including, but not limited to, charging another payment method you provide us, or using other means of collection, such as using certain collection services or retaining legal counsel. You can cancel your subscription anytime by emailing CANCEL@STUD-RX.com. or you may be able to put your account on hold until you want to resume services. If you cancel a subscription after medication has already been prepared for shipment (i.e. medication has already been packaged for delivery and/or postage affixed for shipment), you will still be required to pay for that month’s shipment. If you cancel your subscription before medication has been packaged for delivery and/or postage affixed for delivery, you will not be charged.
